Business Valuation Services in Dubai & UAE
By Bill Anderson, FCCA, Chief Executive Officer — Assetica, Dubai, UAE
Definition: Business valuation in the UAE is the process of determining the economic worth of a company using internationally recognised methodologies including Discounted Cash Flow (DCF) analysis, market comparables, and the net asset value approach. In Dubai and across the GCC, independent business valuations are required for M&A transactions, shareholder disputes, DIFC and ADGM court proceedings, UAE Golden Visa applications, bank financing, corporate restructuring, and strategic exit planning.
Key Takeaways
- Independent business valuation in Dubai and the UAE, prepared to RICS, IVS and IFRS standards.
- Used for M&A, shareholder disputes, Golden Visa, bank finance, UAE corporate tax and exit planning.
- Three approaches reconciled: income (DCF), market multiples and asset-based.
- Accepted by the GDRFA, the FTA, banks, buyers and the DIFC and ADGM courts.
- Standard report in five to seven business days, led by a former RBS Global CFO.
Assetica delivers independent, credible business valuations for companies across the UAE, UK, GCC, and internationally. Whether you are raising capital, planning an exit, resolving a shareholder dispute, or meeting a regulatory requirement, our valuations provide the rigour and defensibility your situation demands.
Business Valuation Methods Compared
Three recognised approaches, each suited to different situations. The income approach (discounted cash flow) values future earnings and suits profitable businesses with predictable cash flows; it is sensitive to the discount rate and growth assumptions. The market approach applies EBITDA or revenue multiples from comparable UAE and regional transactions, and suits companies with good comparables; it depends on the quality of that comparable data. The asset-based approach values net assets and suits asset-heavy, holding or loss-making companies, but ignores goodwill and earning power. We triangulate at least two and reconcile them, because a single method applied alone is what makes a business appraisal in the UAE easy for a buyer, bank or court to challenge.
When You Need a Business Valuation in the UAE
Owners commission a valuation at the moments that matter most: selling the company, bringing in an investor, buying out a partner, settling a shareholder dispute, applying for a Golden Visa, or meeting UAE corporate tax and transfer pricing requirements. Each purpose calls for a different standard of value and a different level of evidence. A figure prepared for an internal discussion will not survive a buyer's due diligence or a court, which is why the first question we ask is what the valuation is actually for. Getting that right at the outset is what makes the final number usable rather than merely indicative.
How Assetica Values a Business
We triangulate at least two recognised approaches rather than relying on a single method. The income approach (discounted cash flow) captures the value of future earnings; the market approach applies EBITDA and revenue multiples drawn from comparable UAE and regional transactions; and the asset-based approach anchors the result for asset-heavy or holding companies. Before any multiple is applied, we normalise earnings to strip out owner-specific costs, one-off items and related-party distortions so the profit reflects the true earning power a buyer would pay for. The methods are then reconciled and the assumptions disclosed, so the conclusion can be defended line by line.
What Drives Your Company's Value
Two businesses with identical profits can be worth very different amounts. Recurring revenue, customer concentration, owner dependence, the quality and verifiability of the books, growth rate, and the depth of the management team all move the multiple a buyer is willing to pay. We identify which of these factors are lifting or dragging your valuation and quantify their effect, so you understand not just the number but the levers behind it. For owners planning ahead, that insight is often as valuable as the valuation itself.
Why an Independent Valuation Carries Weight
A valuation is only as persuasive as the independence of the firm behind it. Assetica is not your auditor and does not broker the deal, so our opinion carries no conflict of interest when it is read by a buyer, a bank, the FTA, or a DIFC or ADGM court. Our reports are prepared to RICS, IFRS and IVS standards and have been accepted by UAE regulatory authorities, courts and institutional investors across more than 500 engagements. That track record is what turns a number on a page into a number people act on.
Why Not Your Audit Firm?
Most valuation providers in the UAE are audit networks or diversified consultancies, and that creates a conflict the reader of your report can see. An auditor valuing what it audits is marking its own homework, and a firm that also brokers the deal is paid when the price moves. Assetica does neither. We are valuation specialists led by Bill Anderson FCCA, formerly Global CFO of the Royal Bank of Scotland's corporate banking division, where he ran finance for over £2 billion in profits and £103 billion in assets. One discipline, no side interests, and a report whose independence survives the scrutiny of buyers, banks, the FTA and the courts.
Business Valuation in Dubai Mainland, DIFC and the Free Zones
Where a Dubai company is licensed changes the work before any number is calculated. A mainland LLC is governed by its Memorandum of Association and the Commercial Companies Law, Federal Decree-Law No. 32 of 2021. Since Federal Decree-Law No. 20 of 2025, mainland LLCs may have more than one class of shares and may include drag-along and tag-along rights, so we read those terms first. Companies in DMCC, JAFZA, DAFZA, IFZA, Meydan and Dubai South follow their own free zone regulations. In DMCC, share transfers are registered under the DMCCA Company Regulations issued on 10 October 2024. On tax, a Qualifying Free Zone Person pays 0% on qualifying income and 9% on other taxable income. Failing a condition removes the status for that tax period and the next four, so we test it rather than assume it. A DIFC company sits under the DIFC Companies Law and the DIFC Courts, which our DIFC valuation page covers in depth.
DCF, Multiples or Net Asset Value: Which Method Fits a UAE Company?
The business, not habit, decides which method leads. A discounted cash flow fits a company whose forecast a buyer would rely on, often because revenue is contracted. Corporate tax sits inside that free cash flow: 9% on taxable income above AED 375,000 under Federal Decree-Law No. 47 of 2022. Small Business Relief lets an eligible resident person elect to be treated as having no taxable income where revenue stays at or below AED 3 million. Ministerial Decision No. 131 of 2026 extends the relief to tax periods ending on or before 31 December 2029, so the forecast must carry tax after that. Market multiples fit stable, profitable companies with comparable deals or listed peers. Net asset value fits holding companies, asset-heavy businesses and loss-makers, and often sets a floor. DCF and multiples give enterprise value, so we bridge to equity. Unfunded end-of-service gratuity is deducted like debt. Where staff are in the MoHRE Savings Scheme or the DIFC's DEWS plan, we check which service years remain unfunded.
What the Valuation Report Contains, and What Each Reader Checks First
IVS 106, part of the International Valuation Standards effective from 31 January 2025, sets out what a report must record. That includes the scope of work, the intended use and users, and the valuation date. It also covers the basis of value, the approaches and methods, and the significant inputs and assumptions. It ends with the conclusion of value and a statement of IVS compliance. Our reports add the normalisation schedule, the bridge from enterprise value to equity value, sensitivities and a statement of independence. Each reader starts somewhere different. A bank checks that it is a named intended user and how the value holds in a downside case. A buyer goes straight to normalised EBITDA and net debt, because both move the price. A court looks at independence, the instructions, and whether the date and basis match the agreement or order. For a Golden Visa file going to the GDRFA, we isolate the value of the applicant's own shares and tie it to the ownership documents.
Business Valuation by Purpose: What Changes for Each Report
The purpose fixes the basis of value, the valuation date and the stake being valued, so we agree it on the scoping call. For a sale, we value the business as a buyer would, then bridge to the equity price at completion. For a partner exit, the Memorandum of Association or shareholders' agreement may fix the basis, the date and whether discounts apply. In a dispute, the court, the tribunal or the agreement usually sets those terms, and independence is tested hardest. For a Golden Visa, the ICP's guidance refers to a partner's financial share of at least AED 2 million, so we value the applicant's own stake. A bank wants a value it can rely on, with downside cases shown. For corporate tax, transactions between related parties must meet the arm's length principle in Federal Decree-Law No. 47 of 2022. For financial reporting, IFRS 13 defines fair value as an exit price between market participants. One report rarely serves every purpose, so tell us every reader at the outset.
Business Valuation in Abu Dhabi, Sharjah and Ras Al Khaimah
The methods are the same across the emirates, but the legal wrapper and the evidence change. In Abu Dhabi, ADGM applies English common law under its Application of English Law Regulations 2015. An ADGM company's share register and the ADGM Courts shape what buyers and judges expect to see. Abu Dhabi mainland and free zone companies are valued from the licence and constitutional documents, as in Dubai. For an industrial or trading company in Sharjah or Ras Al Khaimah, plant, machinery and inventory can carry much of the value. We reconcile the earnings value with the asset base, so neither figure stands alone. A RAKEZ company that relies on Qualifying Free Zone Person status gets the same tax testing as a Dubai free zone company. Where a RAK ICC company is used as a holding vehicle, we value it by looking through to what it owns. Our Abu Dhabi, ADGM, Sharjah and Ras Al Khaimah pages go further.

Frequently Asked Questions
What is business valuation and why does my company need it?
Business valuation is the process of determining the economic value of your company. It is required in a wide range of situations including fundraising and investor negotiations, business sales or acquisitions, shareholder exits, estate and tax planning, regulatory compliance, dispute resolution, and strategic decision-making. An independent valuation from Assetica gives you a credible, defensible figure that you can rely on in negotiations and formal processes.
What methods does Assetica use to value a business?
Assetica applies the most appropriate valuation methodology, or a combination of methods, based on your industry, business stage, and the purpose of the valuation. The primary methods we use are: Discounted Cash Flow (DCF) analysis, which values the business based on projected future cash flows; market comparables, which benchmarks your business against similar listed companies or recent transactions; and asset-based approaches, which are used where net assets are the primary value driver. Using multiple methods provides cross-validation and a more defensible valuation.
How much does a business valuation cost in Dubai?
Fees depend on the purpose of the report, the complexity of the business and the state of the documentation, not on turnover. Assetica scopes every engagement on a short call and quotes a fixed fee in writing before any work starts, so there is no hourly billing. Our guide to what drives the fee is at /blog/business-valuation-cost-dubai/.
How long does a business valuation take?
For most SMEs and mid-market businesses in the UAE, Assetica can deliver an initial valuation report within 2–3 weeks from receipt of the required financial information. For larger or more complex businesses, or where the purpose requires extensive documentation (such as tax or litigation valuations), allow 4–6 weeks. Expedited timelines are available for time-sensitive transactions.
Can Assetica value a business for the purpose of selling it in the UAE?
Yes. Assetica regularly provides pre-sale valuations for business owners across the UAE who are planning to sell their business. A professional, independently prepared valuation gives sellers a credible asking price backed by rigorous analysis, significantly strengthening their negotiating position with prospective buyers and their advisors.
Does Assetica provide business valuations for UAE businesses operating in Saudi Arabia, the wider GCC, UK, and Europe?
Yes. Assetica provides business valuations for companies headquartered in the UAE with operations across Saudi Arabia, Qatar, Bahrain, Kuwait, Oman, the UK, and broader European markets. Our team is experienced in applying the appropriate valuation standards and market data for each jurisdiction, ensuring that our valuations are credible and defensible wherever your business operates or wherever your investors, buyers, or regulators are based.
Who can carry out a business valuation in the UAE?
Start with the reader. A bank, court or authority may set its own requirements for who prepares a report, so ask before you appoint anyone. Then check three things. First, independence: the valuer should not audit the company, broker the deal or earn a success fee. Second, standards: the report should follow IVS and state its basis of value and valuation date. Third, seniority: find out who does the work and who signs the report. Assetica does not audit, broker deals or take success fees, and our reports are prepared to RICS, IVS and IFRS standards. Our guide at /blog/who-can-value-a-business-uae/ covers this in more detail.
How do I get a business valuation for my company in Dubai?
It starts with a scoping call to agree the purpose, the reader and the stake being valued. We then confirm a fixed fee in writing. You send the documents: usually two to three years of financial statements, current management accounts, the trade licence, the Memorandum of Association or share register, and any forecast. We normalise the earnings, apply and reconcile the methods, and issue the report. A standard business valuation report takes five to seven business days from complete documents. Our checklist at /business-valuation-checklist/ lists what to prepare.
What multiple of profit is a UAE business worth?
There is no standard UAE multiple. A multiple is taken from comparable transactions or listed peers, then adjusted for size, growth, risk and the quality of earnings. It is applied to normalised EBITDA, after owner costs and one-off items are stripped out. Recurring revenue, a wide customer base and a team that runs without the owner push it up. Dependence on one client or on the founder pulls it down. The result is enterprise value. Debt, unfunded end-of-service gratuity and other debt-like items are then deducted to reach the value of the shares. Our guide at /blog/how-many-times-profit-business-worth-uae/ explains more.
Can I work out what my company is worth myself?
You can reach a rough range. Start with the last full year's profit, add back owner costs and one-off items, and look at what similar businesses have sold for. Then deduct debt and unfunded staff gratuity to see what the shares might be worth. Our calculator at /business-valuation-calculator/ gives a quick indication on the same logic. A self-made figure has limits, though. A buyer, bank, court or the FTA is unlikely to rely on it, because nobody independent has tested the inputs. When someone else has to act on the number, you need an independent report.
What valuation does an investment for a percentage of my company imply?
Divide the investment by the percentage to get the post-money value, then subtract the investment to get the pre-money value. Consider a hypothetical investor offering AED 1 million for 5% of the shares. That implies a post-money value of AED 20 million and a pre-money value of AED 19 million. The headline can mislead. Preference rights, convertible notes and an option pool all change what each ordinary share is really worth. An independent valuation tests whether the implied figure is supportable before you sign the term sheet.
How do I choose a business valuation firm in Dubai?
Ask four questions before you sign. Does the firm audit your company, broker the deal or take a success fee? Which standards will the report follow, and will it state the basis of value and valuation date? Who will do the work and sign the report? Is the fee fixed in writing after a scoping call, with the scope set out? Be wary of any firm that names a value before it has seen your accounts. Our guide at /blog/how-to-choose-business-valuation-firm-dubai/ sets out the checks in more detail.
